These Terms of Service ("Terms") govern your access to and use of the Pathroute platform, website, and services (collectively, the "Service") provided by Pathroute LLC ("Pathroute," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

Pathroute provides a route optimization and delivery management platform that allows users to plan efficient delivery routes, manage teams, track deliveries, and collect proof of delivery. Features vary by subscription plan.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Billing

Subscription Plans

We offer various subscription plans with different features and limits. Details of each plan are available on our pricing page. You may upgrade or downgrade your plan at any time.

Payment

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds are provided for partial billing periods.

Free Trial

We may offer free trials for new users. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to it
• Upload malicious code, viruses, or any harmful content
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, sublicense, or redistribute the Service without authorization
• Impersonate any person or entity or misrepresent your affiliation

6. Your Data

You retain ownership of all data you upload to the Service, including routes, addresses, delivery information, and proof of delivery content ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.

You are responsible for maintaining backups of Your Data. While we implement reasonable measures to protect Your Data, we are not liable for any loss or corruption of data.

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Pathroute LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. ROUTE OPTIMIZATION RESULTS ARE ESTIMATES AND MAY VARY BASED ON REAL-WORLD CONDITIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHROUTE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Pathroute LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in the United States.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pathroute.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
• Waiver: Failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights at any time.
